Description of the Board of Directors (May 2014)
The Board of Directors is the governing body of NAME, Inc. The Board manages the organization’s business affairs and carries out NAME’s objectives as set forth in the Bylaws.
The Board consists of the President, President-Elect, Immediate Past President, Secretary, Treasurer, nine (9) regional representatives and three (3) at-large representatives. The nine (9) regional representatives consist of a State Medicaid agency representative, a State Education agency representative and a Local Education agency (LEA) representative from each of NAME’s three regions (defined below); the three (3) at-large representatives consist of a State Medicaid agency representative, a State Education agency representative and a Local Education agency (LEA) representative from any NAME region. The member’s regional affiliation is determined by the address on his or her membership application or conference registration. A director may be removed for good cause (e.g., for missing three or more consecutive board meetings) by a majority vote of board members then sitting. A director may resign at any time by giving notice to the President or President-Elect.
Connecticut, Delaware, District of Columbia, Kentucky, Maine, Maryland, Massachusetts, New Hampshire, New Jersey, New York, North Carolina, Pennsylvania, Rhode Island, South Carolina, Tennessee, Vermont, Virginia and West Virginia.
Alabama, Arkansas, Florida, Georgia, Illinois, Indiana, Iowa, Louisiana, Michigan, Minnesota, Mississippi, Missouri, Ohio, Oklahoma, Puerto Rico, Texas, US Virgin Islands and Wisconsin.
Alaska, Arizona, California, Colorado, Hawaii, Idaho, Kansas, Montana, Nebraska, New Mexico, Nevada, North Dakota, Oregon, South Dakota, Utah, Washington and Wyoming.
Qualifications and Duties
For All Board Members:
Good Standing - A member in good standing has paid membership dues for the current calendar year and by doing so agrees to adhere to NAME Bylaws, policies and procedures. At his or her discretion or by request of the board, the Membership Committee Chair may request verification of dues payment and status confirmation from the employer or entity represented by any applicant for membership. For Regional and At-Large Representatives:
Each serves a three-year term and must represent a State Medicaid, State Education or Local Education Agency in his/her own NAME Region (Regional Rep) or in any of the three NAME Regions (At-Large Rep). Terms are established to maintain a balance regionally, by type of agency, and such that terms for directors representing the same region or agency type do not all expire in the same year. Duties - In addition to the governance, fiduciary and legal responsibilities required of all Board members of a 501(c)3 not-for-profit organization, regional and at-large representative duties include: active participation in Board and committee meetings, ongoing communication with members in the area the director serves and facilitation of regional town hall meetings at the annual conference.
President-Elect, President and Immediate Past President: Each serves a one-year term. The President-Elect must represent a State Medicaid agency or a State Education agency and is elected by the Voting Membership from among those qualified candidates nominated by the Nominating Committee in accordance with NAME Policies and Procedures. After serving one year in office, a properly elected President-Elect shall automatically become the President. After serving one year in office, the President shall automatically become the Immediate Past President. (NAME Bylaws, Article V, B. and C.)
Duties - In addition to the governance, fiduciary and legal responsibilities required of all Board members of a 501(c)3 not-for-profit organization, duties of these three officers include: presiding (or standing in for the presiding officer) at all meetings of the Board of Directors, Executive Committee and the membership. Traditionally, the President-Elect chairs the Nominating Committee and the Immediate Past President co-chairs the Conference Committee.
Treasurer and Secretary:
Each serves a two-year term and is selected from among qualified candidates nominated by the Nominating Committee and appointed by a majority vote of board members then sitting. (NAME Bylaws, Article V, B. and C.)
Duties - In addition to the governance, fiduciary and legal responsibilities required of all Board members of a 501(c)3 not-for-profit organization, Treasurer duties include: collecting and disbursing monies due to or from NAME, maintaining complete and accurate records of and preparing reports of NAME’s finances, working with the Finance Committee and Board on developing NAME’s operating budget; and Secretary duties include: recording and distributing accurate Board and membership meeting minutes, distributing meeting notices and maintaining an archive of Conflict of Interest statements completed by Leadership Team members.
